Gary P. Downs

Gary Downs is a transactional real estate attorney and a founding partner of the firm. Mr. Downs’ real estate practice includes tax, joint venture, public-private partnerships, acquisition and disposition, land use, regulatory work and complex financing. Mr. Downs’ clients are mostly developers ranging from “mom and pop” operations to multi-billion dollar REITs.Mr. Downs routinely counsels his clients on using tax advantaged financing such as various types of tax credits, including low income housing, historic, investment and new market tax credits to finance low income, mixed income and mixed use developments. Mr. Downs also has broad experience in municipal finance matters such as general obligation, community facilities district, assessment district, single and multifamily, industrial development, tax allocation and certificate of participation issues.

Irene C. Kuei

Irene Kuei is a transaction real estate attorney and a founding partner of the firm. Vincent L. Brown

Vince Brown is an associate attorney with the firm. Mr. Brown represents affordable housing developers and public agencies in the construction and development of affordable housing. His practice focuses on all aspects of real estate transactions, including acquisitions, dispositions, and affordable housing finance. Mr. Brown also counsels clients in the area of tax law as it relates to nonprofit organizations and the Low Income Housing Tax Credit (LIHTC) program, and has significant experience in structuring and closing complex LIHTC syndications and year 15 transactions.
